Terms of Service

Introduction

Welcome to ClipMind. Thank you for using the ClipMind web app, the ClipMind plugins, ClipMind Desktop and the other products, services and features we make available to you (collectively, the "Services"). Please read on to learn the rules and restrictions that govern your use of the Services. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Services. Your Services Provider

The Services are provided by Nickburg, the sole proprietorship (eenmanszaak) of Nicky van Wilgenburg (Nick Burg), registered in the Netherlands with the Chamber of Commerce under number 65510879. ClipMind is a product of Nickburg (referred to as "ClipMind", "we", "us" or "our").

Applicable Terms

Your use of the Services is subject to these terms, which may be updated from time to time (together, this "Agreement"). The Agreement includes the provisions in this document as well as those in the Privacy Policy. Your use of or participation in certain Services may also be subject to additional policies, rules and/or conditions ("Additional Terms"), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with these Additional Terms.

Who may use the Services

Age Requirements

You must be at least 18 years old to use the Services. You represent and warrant that you are of legal age to form a binding contract. ClipMind is not meant for, or offered to, anyone under 18.

Businesses

If you are using the Services on behalf of a company, agency or other organization, you represent that you have the authority to act on behalf of that entity, and that the entity accepts this Agreement. In that case, "you" refers to both you and that entity.

Editors Working for Others

Many of our users are video editors who edit streams for a streamer, a channel or a studio. If you submit a stream that is not your own, you represent and warrant that the owner of that stream has given you permission to submit it to the Services and to use what the Services make from it.

Before a new stream is analyzed, the Services ask you to confirm that it is your own channel or that you have the owner's permission to edit it. ClipMind keeps a record of that confirmation: which account gave it, for which stream, and when.

Your Use of the Services

The Services

The Services analyze recorded livestreams and other videos and help you find and prepare content from them. They include the ClipMind web app at app.clipmind.pro, the ClipMind plugins for Adobe Premiere Pro and DaVinci Resolve, ClipMind Desktop, this website, and everything the Services make for you, such as suggested videos, shorts, highlights, chapters, markers, recaps, titles, transcripts and answers from Ask ClipMind (together, "Output").

Content on the Services

The content on the Services includes videos, audio, chat messages, text, graphics, branding, a person's name, photograph, voice or likeness, software, metrics and other materials, whether provided by you, by ClipMind or by a third party ("Content"). For the purpose of this Agreement, a person's name, photograph, voice and likeness are jointly called "Publicity Rights" and are considered part of intellectual property rights, including portrait rights under Dutch law.

Content is the responsibility of the person or entity that provides it to the Services. ClipMind is under no obligation to host or serve Content. If you see any Content you believe does not comply with this Agreement, including by violating the law, you may report it to us at hello@clipmind.pro.

ClipMind Account

To use most of the Services you need an account ("ClipMind Account"). You sign in with your email address. You promise to provide us with accurate, complete and up-to-date information about yourself. You may not use a name or an email address that you do not have the right to use, or another person's name with the intent to impersonate that person.

You are responsible for all activity on your ClipMind Account, and you must keep your sign-in methods secure. Each plan allows a set number of devices and browsers to be signed in at the same time, as shown on our pricing page. When you sign in on a new browser beyond that number, the browser you used least recently may be signed out. You may not share your ClipMind Account with people outside your own organization. To work with others, use the team features of the Services.

We may limit who can create an account, for example by inviting users before the Services open to everyone.

Your Information

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Services. It also explains that we record how the web app is used, including replays of sessions in the app. You agree to the use of your data in accordance with the Privacy Policy.

Cookies

This website sets no cookies. The web app keeps your sign-in in your browser and uses cookies and similar storage as described in the Privacy Policy.

Messages

We send you emails that are needed to provide the Services, such as sign-in codes, receipts and messages about your account and your analyses. Where we send other messages, such as tips or news about the Services, you can unsubscribe at any time.

Permissions and Restrictions

You may access and use the Services as made available to you, as long as you comply with this Agreement and applicable law. The following restrictions apply to your use of the Services. You are not allowed to:

  1. submit a stream, video or other material that you do not have the right to submit, or that infringes the copyright, Publicity Rights or other rights of any person;
  2. use the Services or any Output in a way that violates the terms of the platform the stream comes from or the platform you publish to, such as Twitch, Kick, YouTube or TikTok;
  3. access the Services by any means other than through the interfaces we provide;
  4. circumvent, disable or interfere with the limits of your plan, such as stream-hours, credits and the number of signed-in devices, or with any security feature of the Services;
  5. share, sell, resell, rent or sublicense access to the Services or your ClipMind Account, except as allowed by the team features;
  6. use automated means, such as scripts, scrapers or bots, to access the Services or to collect information from them;
  7. copy, modify, decompile or reverse engineer any part of the Services, except to the extent the law allows this despite this restriction;
  8. use the Services or any Output to build or train a product or model that competes with the Services;
  9. use the Services to collect, store or publish personal data of people in a stream or its chat beyond what is needed to edit that stream, or to harass, threaten or expose anyone;
  10. use the Services for any illegal purpose, or to create or spread content that is unlawful, harmful, sexually exploits minors, incites violence or promotes hatred;
  11. upload or transmit viruses, malware or any other harmful code;
  12. place an unreasonable load on the Services, or interfere with their normal operation;
  13. misrepresent your identity or your affiliation with any person, or suggest that ClipMind endorses you or your content;
  14. help or encourage anyone else to do any of the above.

Reservation

Using the Services does not give you ownership of or rights to any aspect of the Services, including the software, the website, our trademarks and the "ClipMind" name and logo. All rights not expressly granted to you in this Agreement are reserved by ClipMind.

Output from Artificial Intelligence

The Services use artificial intelligence to analyze streams and to make Output. Output may be incomplete, inaccurate or unsuitable for your purpose, and similar Output may be made for other users. You are responsible for reviewing Output before you rely on it or publish anything made with it. We do not promise that Output will bring views, followers, revenue or any other result. Numbers and times we show as examples, such as how long an analysis takes, describe typical use and are not a guarantee.

Develop, Improve and Update the Services

ClipMind is constantly changing and improving the Services. We may add or remove functionality or features, change prices and plans as described below, and we may suspend or stop a Service altogether. Some features may be offered as a beta or preview. These are offered as is, may change at any time and may not always work as expected. Where a change materially reduces what a paid plan includes, we will tell you in advance where reasonably possible.

Change of Terms

We may change this Agreement from time to time, for example to reflect changes to the Services or to the law. When we make a material change, we will tell you by email or in the Services at least 30 days before the change takes effect, unless the change is required by law or concerns new functionality. If you do not agree to the new terms, you must stop using the Services and you may cancel your plan before the change takes effect. If you continue to use the Services after the change takes effect, you accept the new terms.

Your Rights in the Services

Subject to this Agreement, ClipMind grants you a personal, limited, non-exclusive, non-transferable and revocable right to use the Services for the purposes they are made for. If you are on a paid plan, you may use the Services and the Output for commercial purposes, including the content you make for a streamer, a channel or a client.

Your Content and Conduct

User Submissions

Anything you submit, upload, link, store or otherwise provide through the Services is your "User Submission". This includes the stream links you submit, the videos, audio and chat files you upload, the questions you ask Ask ClipMind and the edits you make. The Output that the Services make for you from your User Submissions is also treated as part of your User Submissions under this Agreement.

You are solely responsible for all User Submissions you contribute to the Services. You represent and warrant that you have all rights, licenses and permissions needed to submit them and to let ClipMind use them as described in this Agreement, including the permission of the streamer or other owner of any stream you submit, and that your User Submissions and your use of the Output do not infringe the copyright, Publicity Rights or other rights of any person. ClipMind may use automated systems that analyze your User Submissions to help detect infringement and abuse.

Rights You Grant

You retain ownership rights in your User Submissions. We do need your permission to do the things we need to do to provide the Services, and to show what the Services can do. Your ownership in User Submissions is not affected by the licenses below, and each license applies only to the extent of the rights you hold.

Operating the Services. You grant ClipMind a worldwide, non-exclusive, royalty-free license to host, store, process, copy, transmit, adapt and display your User Submissions, for the purpose of providing, securing and improving the Services for you. This includes processing by the service providers we use for this, such as the providers of hosting and artificial intelligence named in the Privacy Policy. This license ends when your User Submission is deleted from the Services, as described below.

Shared Submissions. If you share a User Submission with other users, for example with the members of your team, you grant ClipMind a license to display and make that User Submission available to those users, and you grant each of them a license to access and use it within the Services.

Published Work. If you publish, post or otherwise make public any video, short, clip, title or other Output made with the Services, on any platform, including YouTube, TikTok, Twitch, Kick, Instagram and X ("Published Work"), you grant ClipMind a worldwide, non-exclusive, royalty-free, sublicensable, perpetual and irrevocable license to use, reproduce, display, perform, distribute and publish that Published Work, in whole or in part, including by cropping, shortening, captioning and combining it with other material, together with the name, channel name, logo and likeness that appear in or with it, for ClipMind's marketing and promotional purposes. This includes use on our websites, in advertising, in presentations, in case studies and on social media. As a courtesy, if you ask us at hello@clipmind.pro to stop using a specific Published Work, we will make reasonable efforts to stop using it in new marketing materials.

Customer References. You grant ClipMind the right to identify you, or the company you use the Services for, as a customer of ClipMind, including by showing your name, channel name and logo on our websites and in our marketing materials. You can ask us to stop at any time by emailing hello@clipmind.pro.

Feedback. If you send us suggestions, ideas or other feedback about the Services, you grant ClipMind the right to use them for any purpose, without any obligation or payment to you.

Removing Your Content

You may delete your analyses in the web app, and you can ask us to delete your ClipMind Account by email. Analyses and media on our servers, including the stream and chat content in them, are deleted 30 days after your last visit, as described in the Privacy Policy. Deleting a User Submission ends the licenses for operating the Services and for Shared Submissions. It does not end the license for Published Work.

Removal of Content by ClipMind

If we reasonably believe that any of your User Submissions breaches this Agreement or the law, or may cause harm to ClipMind, our users or third parties, we may remove or block it. Where reasonably possible, we will tell you why, and you may contact us if you believe we made a mistake.

Notice and Takedown

If you believe that Content on the Services infringes your copyright, your Publicity Rights or your other rights, or is otherwise unlawful, please send a notice to hello@clipmind.pro. Please include:

  1. a description of the work or the rights you believe are infringed;
  2. where the Content can be found on the Services, as precisely as you can;
  3. your name and contact details, and on whose behalf you act;
  4. a statement that you believe in good faith that the use is not authorized or is unlawful;
  5. a statement that the information in your notice is accurate.

We will review the notice, act on it as the law requires and tell you what we decided. If we remove Content based on a notice, we will inform the user who provided it where we can, and that user may respond. We may suspend or terminate the ClipMind Account of users who repeatedly infringe the rights of others.

Responsibility for What You See and Do on the Services

Third-Party Content

Streams, chat messages and other Content you use with the Services are created by third parties. ClipMind does not control or endorse that Content, and you access and use it at your own risk. Output describes and ranks moments of a stream. It is not a statement by ClipMind about any person in the stream or its chat.

Third-Party Services and Platforms

The Services work with services we do not control, such as Twitch, Kick, YouTube, Adobe Premiere Pro, DaVinci Resolve, Link and Stripe (our payment reseller) and the providers named in the Privacy Policy. Your use of those services is governed by their own terms. ClipMind is not affiliated with, sponsored by or endorsed by Twitch, Kick, YouTube, Adobe or Blackmagic Design, and we are not responsible if a third-party service changes, limits or stops working with the Services.

If you connect a third-party account to the Services, such as your Twitch account to bring in a streamer's markers, you allow ClipMind to access the information from that account that the feature needs. You can disconnect it at any time in your account settings.

Disputes with Others

You are responsible for your dealings with other users, streamers, clients and third parties. ClipMind is not a party to agreements between you and anyone else, such as an agreement between an editor and a streamer.

Account Suspension & Termination

Terminations by You

You may stop using the Services at any time. You can cancel your paid plan as described under Fees and Payments, and you can ask us to delete your ClipMind Account by emailing hello@clipmind.pro.

Terminations and Suspensions by ClipMind

ClipMind may suspend or terminate your access to the Services, or your ClipMind Account, if (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with the law or a court order; (c) your use of the Services puts ClipMind, our users or third parties at risk; or (d) payment for your plan fails and is not resolved. Where reasonably possible, we will tell you in advance and give you the chance to fix the problem. If we stop offering the Services altogether, we will give you reasonable notice and refund the part of a prepaid period you can no longer use.

Effect of Account Suspension or Termination

When your ClipMind Account is terminated, your right to use the Services ends, and your User Submissions are deleted as described in the Privacy Policy. Any provisions of this Agreement that by their nature should survive termination will survive, including the license for Published Work, the restrictions on your use of the Services, the disclaimers, the limitation of liability and the indemnity.

About Software in the Services

Downloadable Software

Some Services are software you install, such as the ClipMind plugins for Adobe Premiere Pro and DaVinci Resolve and ClipMind Desktop (together, "Software"). ClipMind grants you a personal, limited, non-exclusive, non-transferable and revocable license to install and use the Software on devices you control, within the number of devices your plan allows, only to use the Services. The Software may update itself automatically. To use a plugin, you need your own license for the editing program it works with. Some Software is available only for certain operating systems and program versions, and we do not guarantee that the Software works with every version.

You may not copy, modify, distribute, sell or lease any part of the Software, or decompile or reverse engineer it, except to the extent the law allows this despite this restriction.

Open Source

Some of the Software includes components that are offered under open source licenses. Those licenses, which we make available with the Software, govern those components and may override some of the terms of this Agreement.

Fees and Payments

General

Some Services are free or offered as a trial. Others require a paid plan or a one-time purchase ("Paid Services"). The current plans, prices and what each plan includes are shown on our pricing page and in the Services.

Plans, Stream-Hours and Credits

Each plan includes a number of stream-hours per month. A stream-hour is one hour of stream that ClipMind analyzes. Use of the Services is measured in credits. Before an analysis starts, the Services show its price. That price is what is charged for an analysis that completes. If an analysis is stopped or fails, we charge the credits it used up to that moment, which may differ from the price shown. Plan stream-hours that you do not use in a month do not carry over to the next month.

Extra Hours

On an active paid plan, you may buy extra stream-hours as a one-time purchase. Extra hours do not expire while your ClipMind Account exists, and they are used after the stream-hours of your plan for that month. Extra hours are lost when your ClipMind Account is deleted.

Billing

We sell plans and extra hours through Link, the checkout service of Stripe. Sold through Link, LLC, a Stripe company ("Link"), is the Merchant of Record for all our orders. Link conducts the order process, takes the payment, issues the invoice, handles the tax and answers questions about payments. When you buy a Paid Service, Link's Sold through Link Terms apply to the purchase in addition to this Agreement, and your payment to Link pays for your order with us. We give money back as described in our Refund Policy, through Link. You represent and warrant that you have the right to use the payment method you provide. Prices may include or exclude taxes such as VAT, depending on where you are. The amount you pay, including taxes, is shown at checkout. On your card or bank statement, the payment starts with LINK.COM*.

Current Information Required

YOU MUST PROVIDE CURRENT, COMPLETE AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT. YOU MUST PROMPTLY UPDATE ALL INFORMATION TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE AND ACCURATE, SUCH AS A CHANGE IN BILLING ADDRESS, CARD NUMBER OR CARD EXPIRATION DATE. IF PAYMENT FAILS AND IS NOT RESOLVED, WE MAY LIMIT OR SUSPEND YOUR ACCESS TO THE PAID SERVICES.

Recurring Billing and Auto-Renewal

Plans are billed in advance, every month or every year, and renew automatically at the end of each billing period until you cancel. By choosing a plan, you authorize Link to charge your payment method for each renewal. You can cancel at any time, in ClipMind under Manage billing or in your Link account. Cancellation takes effect at the end of the current billing period, and you keep access to your plan until then. When you can get a payment back is described in our Refund Policy.

Change in Price

We may change the price of a plan. We will tell you at least 30 days before a new price applies to you. The new price applies from your next billing period after that notice. If you do not agree, you may cancel before the new price applies.

Free Trials and Other Promotions

Your first stream is free: a new account may analyze one stream of up to 12 hours without a payment method. Every monthly plan then starts with 7 days free, once per account. You give a payment method to Link, you may analyze two streams (up to 24 hours) in those 7 days, and when they end your plan starts and Link charges its price every month until you cancel. Cancel before the 7 days end and you pay nothing. A yearly plan has no free days: Link charges the year at once, and the plan's hours come every month. One free stream and one trial are allowed per person and per organization. We may change or end trials and other promotions at any time, and we may refuse or end a trial that we reasonably believe is being misused.

Right of Withdrawal for Consumers

If you are a consumer in the European Union, you have the right to withdraw from a contract for a Paid Service within 14 days, without giving a reason. For a plan that starts with free days, the 14 days start when the free days end and the first payment is made. To withdraw, email us at hello@clipmind.pro within that period. By starting to use a Paid Service during the withdrawal period, you ask us to start providing it right away. If you then withdraw, you pay an amount in proportion to what was provided until you withdrew, and you get the rest back. Our Refund Policy describes what you get back; where the law gives you more, the law applies. Extra hours you have already used cannot be withdrawn.

Other Legal Terms

Warranty Disclaimer

THE SERVICES, THE SOFTWARE AND THE OUTPUT ARE PROVIDED BY CLIPMIND ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CLIPMIND MAKES NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT THE OUTPUT WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS. NOTHING IN THIS AGREEMENT LIMITS ANY RIGHTS YOU HAVE AS A CONSUMER THAT CANNOT BE LIMITED BY CONTRACT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CLIPMIND IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, VIEWS, DATA, CONTENT OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT. CLIPMIND'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT IS LIMITED TO THE GREATER OF ONE HUNDRED EUROS (EUR 100) OR THE AMOUNT YOU PAID CLIPMIND IN THE TWELVE (12) MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO DAMAGE CAUSED BY CLIPMIND'S INTENT OR DELIBERATE RECKLESSNESS, TO DEATH OR PERSONAL INJURY, OR WHERE THE LAW DOES NOT ALLOW THEM.

Indemnity

To the extent permitted by law, you will indemnify and hold ClipMind harmless from any claim, loss, damage and cost, including reasonable legal fees, that arises from your User Submissions, your use of the Output, your breach of this Agreement or your violation of the rights of any person, including a claim by a streamer or other rights holder about a stream you submitted. If you use the Services as a consumer, this indemnity applies only where you acted with intent or gross negligence.

Third-Party Links

The Services may contain links to websites and services that ClipMind does not own or control. ClipMind has no control over, and assumes no responsibility for, their content, policies or practices.

Assignment

You may not assign or transfer this Agreement or any rights under it without ClipMind's prior written consent. ClipMind may assign or transfer this Agreement, for example as part of a sale of its business, provided that your rights under this Agreement are not reduced.

Severance

If any provision of this Agreement is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions remain in full force and effect.

No Waiver

If ClipMind fails to enforce any provision of this Agreement, this does not mean that ClipMind waives its right to enforce it later.

Interpretation

The headings in this Agreement are for convenience only. The words "include" and "including" mean "including without limitation". This Agreement is written in English. If it is translated, the English version prevails.

Governing Law and Disputes

This Agreement is governed by the laws of the Netherlands. Disputes arising out of or related to this Agreement or the Services will be submitted to the competent court in the Netherlands. If you are a consumer living in the European Union, you also keep the protection of the mandatory laws of your country, and you may bring a claim in the courts of your country. Before going to court, please contact us at hello@clipmind.pro, so we can try to resolve the matter together.

Limitation on Legal Action

IF YOU USE THE SERVICES AS A BUSINESS, ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.

Miscellaneous

You are responsible for any taxes on your use of the Services and the Output, other than the taxes collected at checkout. This Agreement, together with the Privacy Policy and any Additional Terms, is the entire agreement between you and ClipMind about the Services. Neither party is liable for a delay or failure caused by events beyond its reasonable control. Nothing in this Agreement creates a partnership, employment or agency relationship between you and ClipMind.
